Overview

Terence (“Terry”) Brennan is a corporate, securities and technology transaction attorney who offers practical, cost-effective, and creative assistance to public, private, and emerging growth companies in all forms of corporate and technology transactions, including private equity and venture financings, corporate and commercial matters, mergers and acquisitions, reorganizations and roll-ups, business start-ups, licensing, intellectual property and entertainment matters.

Prior to joining Henderson, Franklin, Terry was the founding partner of the Brennan Legal Group PLLC, and also, was a partner at two national law firms. He has been the General Counsel of IBAX Healthcare Systems, a health information systems joint venture between IBM and Baxter Healthcare Corp, and an Assistant General Counsel of Macmillan Publishing Company, Inc.

Terry guides his clients through intricate financial and technology transactions, mergers and acquisitions, and strategic partnerships across diverse industries. He has successfully guided event-management, healthcare, and simulation companies through all stages of venture capital financing, structured mergers to maximize investor returns, and negotiated transaction documents for health information and physician practice management systems.

Terry’s experience also extends to facilitating asset sales for energy storage companies, directing multi-party funding transactions, and coordinating international content acquisition for social media and gaming startups. His proficiency in syndicating investments, negotiating licensing agreements, and facilitating joint ventures underscores his dedication to achieving optimal outcomes for every client, regardless of industry or complexity.

Terry is a graduate of Georgetown University Law Center, where he served as Editor of the Georgetown Law Journal. He holds a B.S. in Economics and an M.S. in Criminal Justice/Statistics from the State University of New York at Albany.

Terry has been an early and significant leader in the emerging technology company and economic development communities in New York and Florida. Terry is a member of the New York and Florida Bars, and also, is active in several community, business development, veterans, entertainment and charitable groups.

  • Advised a start-up social media gaming company during its Series A round financing, collaborating closely with venture capitalists’ counsel to address intricate international content acquisition and cross-licensing matters post-closure.
  • Guided a private equity group in syndicating a ten-million-dollar investment for a social media cross-platform integration application, overseeing the creation of primary transaction agreements, digital media distribution, and licensing agreements.
  • Provided legal counsel to a television production company throughout the financing of multiple highly rated documentary programs, and negotiated various agreements related to production, distribution, recording, and content acquisition.
  • Represented a specialized pharmacy services company in securing Series A and B round financing, along with facilitating a product joint venture.
  • Acted on behalf of a major Florida public university in a joint venture with a publicly traded health care products company, focusing on the development of skin cancer treatment medication.
  • Guided a network management software company through a twenty-million-dollar Series B round offering of preferred securities, while also structuring and negotiating subsequent acquisition transactions.
  • Led legal efforts for a traffic management logistics company in negotiating a $100 million asset sale to a public entity, followed by a joint venture with the International Olympics Committee, which included the creation of unique earn-out provisions resulting in significant additional revenue and tax savings for the client.
  • Structured numerous limited partnerships for investments in commercial shopping centers and condominium development projects, including drafting and negotiating purchase, financing, and related documents for successful transaction closures.
  • Provided counsel to a publicly listed broker-dealer in a $300 million securitized bond offering, overseeing the preparation of transaction and indenture documents, and coordinating with a large team of attorneys and investment bankers for a multi-state closing.
  • Prepared and argued various motions on behalf of a software developer in theft of trade secret litigation against an aerospace manufacturer, ultimately achieving a favorable settlement involving multimillion-dollar damage awards and a cross-licensing agreement.
