Paul Shuman practiced primarily tax planning and tax controversy before joining Henderson Franklin’s Business and Tax group. With two decades of business experience, he has an abiding interest in mergers and acquisitions, -- including choice of business entity planning, partnership and corporate taxation issues -- and other complex federal tax issues. Paul finds issues involving the interplay of different federal tax regimes especially intriguing. He has previously assisted clients with:

  • the leveraged buyout of a family owned business using “S corporation” and “Q-Sub” elections to qualify as a tax free Type “F” reorganization and defer gain recognition;
  • structuring the sale of related businesses operated variously as partnerships, trusts and S corporations to defer recognition of income tax on ordinary income “hot” assets, otherwise taxable currently; and,
  • electing to treat foreign corporations as domestic corporations to allow tax free repatriation of US real property interests that would otherwise be subject to immediate taxation under FIRPTA (Foreign investment in Real Property Act)

Paul is originally from Amarillo, Texas. He earned a bachelor’s degree from the University of Texas at Austin. Paul lived for several years in Europe before returning to the United States and founding a business renovating the interiors of large private and corporate yachts.

After a successful business career, Paul followed his life-long dream to study law and attended Georgia State University College of Law on a full academic scholarship. There, he graduated cum laude and with Highest Pro-Bono Distinction. Paul was a Moot Court standout and was voted the “Best Oral Advocate” in his class. Paul spearheaded the Moot Court team that won both the regional 11th Circuit Bankruptcy Competition and the national Duberstein Bankruptcy Competition in the same year, a feat never before accomplished.

At Georgia State, Paul also discovered that his interests in business and law converge in federal tax law. After taking every tax class possible at Georgia State, Paul completed the Graduate Tax program at the University of Florida, where he received his Masters of Law (L.L.M.) in Taxation. Paul considers the Graduate Tax program one of the great experiences of his life.

Paul lives in Fort Myers with his three dogs. When not working, he enjoys saltwater fishing and training for triathlons.

Professional and Civic Affiliations

Although new to Fort Myers, Paul looks forward to active involvement in both the legal and the wider Fort Myers community. He previously served for a decade on the Zoning Board in Thunderbolt, Georgia, as the Chairman of the Board of Trustees for his church there, and as a fundraiser for the Lymphoma Leukemia Society Team in Training.
